Terms of Service

By accessing or using our website at aadhvika.io or engaging Aadhvika.io for any services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our website or services.

Aadhvika.io provides digital engineering services including, but not limited to, website development, mobile app development, e-commerce solutions, SaaS product development, UI/UX design, AI and automation, cloud and DevOps, digital marketing, and ongoing support and maintenance.

The specific scope, deliverables, timeline and payment terms for each engagement are agreed upon in a separate Proposal or Statement of Work (SOW), which forms part of the agreement between you and us.

All engagements begin with a written proposal or SOW that details the scope of work, deliverables, timelines and fees. A project is considered confirmed only once:

• You have provided written acceptance of the proposal.
• The agreed deposit or advance payment has been received.

Any changes to the agreed scope must be documented in a written change request and may affect cost and timeline.

Unless otherwise agreed in writing:

• A deposit of 50% of the total project fee is payable before work commences.
• The remaining balance is payable upon project completion or as per the milestone schedule in the SOW.
• Invoices are due within 7 days of issue.
• Late payments may attract interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.

All fees are exclusive of applicable taxes (including GST) unless stated otherwise.

Client materials

All content, data, logos, trademarks and materials you provide to us remain your property. You grant us a limited licence to use them solely for the purpose of delivering your project.

Deliverables

Upon receipt of full payment, we assign to you all intellectual property rights in the custom work created specifically for your project under the SOW, except as noted below.

Our tools and IP

We retain all rights to our pre-existing code, frameworks, libraries, methodologies, tools and know-how. Where we use open-source components, they remain subject to their respective licences.

Each party agrees to keep confidential any non-public information received from the other party in connection with a project ('Confidential Information') and not to disclose it to third parties without prior written consent, except as required by law.

We may reference your company name and a brief description of the work in our portfolio and marketing materials unless you request otherwise in writing to info@aadhvika.io.

To enable us to deliver on time and to the agreed standard, you agree to:

• Provide all required content, assets, access credentials and feedback within the timelines agreed.
• Designate a point of contact with authority to make decisions on your behalf.
• Review and approve deliverables in a timely manner.
• Ensure all materials you provide do not infringe any third-party intellectual property or other rights.

Delays caused by late or incomplete input from your side may affect delivery timelines and could incur additional costs.

Revisions within the agreed scope are included as described in the SOW. Work that falls outside the agreed scope — including additional features, significant design changes or new requirements — will be treated as a change request, quoted separately and added to the project only on written agreement.

Aadhvika.io warrants that:

• Services will be performed with reasonable skill and care.
• Deliverables will substantially conform to the agreed specifications at the time of delivery.
• We have the right to enter into this agreement and perform the services.

We do not warrant that our services will be uninterrupted or error-free, or that any software will be free of bugs after delivery. We will use reasonable efforts to address defects reported within 30 days of delivery.

To the maximum extent permitted by applicable law, Aadhvika.io's total liability to you for any claim arising out of or relating to these terms or any project shall not exceed the total fees paid by you to us in the 3 months preceding the event giving rise to the claim.

In no event shall we be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data or business opportunities, even if we have been advised of the possibility of such damages.

Either party may terminate a project engagement with 14 days' written notice. In such cases:

• You will be invoiced for all work completed up to the date of termination.
• Any non-refundable deposits will be retained.
• Completed deliverables will be handed over upon receipt of any outstanding payments.

We reserve the right to suspend or terminate services immediately if you are in material breach of these terms, including non-payment.

You agree not to use our website to:

• Violate any applicable law or regulation.
• Transmit any harmful, offensive or unlawful content.
• Attempt to gain unauthorised access to any part of our systems.
• Use automated tools to scrape, crawl or extract data from our website.

Our services may involve the use of or integration with third-party platforms (e.g. Shopify, AWS, Google). Your use of such platforms is governed by their respective terms of service. We are not responsible for any changes, outages or issues caused by third-party platforms.

These Terms of Service are governed by the laws of India. Any dispute arising out of or in connection with these terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.

We may update these Terms of Service from time to time. The effective date at the top of this page will be updated accordingly. Continued use of our website or services after changes are posted constitutes acceptance of the updated terms. For ongoing project engagements, the terms in effect at the time of signing the SOW will apply for that engagement.
